If there is an MSA or similar agreement that has been previously executed, all terms and conditions will fall under executed agreement between Introl and Client.
Payment Terms of Net 30 are acceptable.
Should on-call services be required, Client to be invoiced a minimum of four (4) hours per dispatched technician, contingent upon scope of work and/or previously negotiated terms.
For all Travel Expenses and Consumables incurred outside of contracted scope, Introl will invoice upon completion of services and Client payment will be required within 30 days of receipt.
Should Travel Expenses, Equipment, and Consumables be incurred beyond agreed upon scope of work, Client to be invoiced as required.
Project specific Certificate of Insurance (COI) will be provided upon request. If a project specific bond is required, all costs associated with obtaining the bond will be invoiced to the Client.
Services will be performed in compliance with industry standard of performance and contractual scope.
Introl does not commit to any warranties under this agreement, express or implied, with regard to IT equipment to be serviced or any replacement IT equipment or consumables/materials provided to perform contractual services.
Introl disclaims and excludes any implied warranties with regard to IT equipment, replacement IT equipment, or consumables/materials. Should Introl provide new equipment/materials, Client to work directly with the manufacturer to register any available warranties.
This proposal, as outlined in the Statement of Work (SOW)/Scope of Work, is hereby accepted. Introl staff are authorized to perform work as outlined in the Statement of Work.
Any deviation from specifications outlined in SOW, resulting in additional expenses, will be executed upon written approval and will be subject to additional expenses included in a Change Order. This Change Order is above and beyond the original agreed upon contract value.
All agreements are contingent upon accidents or delays beyond Introl's control.
To ensure successful implementation of services, the Client is responsible for:
Quoted prices do not include applicable taxes. All applicable taxes will be added to and reflected on the invoice submitted to the Client.
Introl will not be liable for delays in, or failure of, performance due to:
Introl will notify Client promptly of materials delays excused by this Section. In the event of such a delay, termination is not acceptable, and the schedule of services will be extended for a period equal to the time lost by reason of the delay.
In the event Introl is delayed by the acts of the Client or by prerequisite work by other contractors or suppliers of the Client, Introl shall be entitled to an equitable price adjustment in addition to an extension of the time of performance.
